Bach and Allard Out at Microsoft’s Entertainment and Devices Division [Internal Memo]

Microsoft is reorganizing its Entertainment and Devices Division and when it’s finished, the two people who largely defined it for the past few years will be gone. EDD group president Robbie Bach and J Allard, the group’s senior VP of Design and Development, are leaving those positions and Microsoft as well.

Bach is said to be retiring; Allard, who has been on sabbatical recently, is simply moving on, though he’ll remain an adviser to the company.

Interestingly, Microsoft (MSFT) isn’t replacing Bach. Instead, the company is splitting his responsibilities between Senior VPs Andy Lees and Don Mattrick, who will oversee the company’s gaming and mobile businesses, respectively. Mattrick and Lees will report directly to CEO Steve Ballmer, who is evidently taking on more of a role in Microsoft’s consumer devices efforts, which, with the exception of the Xbox 360, have stumbled in recent years.

News of the shake-up was first reported by The Wall Street Journal.

After almost 22 years with the company, Robbie Bach has decided to retire from Microsoft. I have worked with Robbie during his entire tenure at Microsoft, and count him as both a friend and a great business partner and leader. Robbie has always had great timing, and is going out on a high note–this has been a phenomenal year for E&D overall, and with the coming launches of both Windows Phone 7 and “Project Natal,” the rest of the year looks stupendous as well. While we are announcing Robbie’s retirement today, he will remain here through the fall, ensuring we have a smooth transition.

Concurrent with Robbie’s retirement, I am making several organization changes to ensure we have the right leaders in the right positions as we set ourselves up for the next big wave of products and services. Effective July 1, Don Mattrick, who leads our interactive entertainment business, and Andy Lees, who leads our mobile communications business, will report directly to me. Don and Andy have built out strong leadership teams and product pipelines, and are well-positioned for the years ahead.

Independent of Robbie’s decision, J Allard (currently serving as senior vice president of Design and Development for E&D), will also be leaving Microsoft. Given his ongoing passion and commitment to Microsoft, he will remain as an advisor to me, helping incubation efforts, looking at design and UI, and providing a cross-company perspective on these and similar topics. With J’s change in role, corporate vice president David Treadwell will join IEB to lead the core technology organization, reporting to Don. David has a great set of accomplishments at Microsoft, most recently working on the Windows Live Platform Services team. Over the next several months, Robbie and I will work together to finalize reporting and structure for the rest of his org.

Now that Office 2010 has been launched to business customers, Antoine Leblond, senior vice president in the Office Productivity Applications Group, will take a new role as senior vice president for the Windows Web Services team. This team brings together the integral Windows services that today deliver updates, solutions, community and depth information for the Windows consumer. Kurt DelBene, senior vice president in the Office Business Productivity Group, will take on all of the engineering responsibilities for the Office business.

Transitions are always hard. Robbie has been an instrumental part of so many key moments in Microsoft history–from the evolution of Office to the decision to create the first Xbox to pushing the company hard in entertainment overall. J as well has had a great impact in the market and on our culture, providing leadership in design, and in creating a passionate and involved Xbox community, and earlier being at the center of our work seizing the importance of the Web for the company. But most important, both have been great team builders with a strong record of attracting, coaching and growing talent. As a result, their teams are primed to continue to step up and deliver great products, great services and great results for the company. Don has led the Interactive Entertainment Business since July 2007, where he’s significantly grown our entertainment footprint as well as our profitability. He can count as successes the evolution of Xbox Live, the launch of blockbusters like “Halo 3” and the much-anticipated “Project Natal.” Previously, Don was president of Electronic Arts Worldwide Studios. Andy has led the Mobile Communications Business since February, 2008, and has been instrumental in reinvigorating our mobility efforts, bringing in new business and development talent and overseeing the creation of both KIN and Windows Phone 7.

As we finalize and ship so many of our key products (“Project Natal,” Windows Phone 7, Office 2010, Windows Live Wave 4 and others) it is a natural time for us to look ahead and make sure we have the right talent in the right roles to fuel our next set of offerings. I am confident that the changes above will set us up well for the months and years ahead.

I want to close by thanking Robbie for the incalculable contributions he has made to Microsoft over the years. He will be greatly missed when he retires this fall, and I am glad that I’ll have the opportunity to continue working closely with him between now and then. And as J makes a similar transition, I look forward to working with him in a new way.

How to Convert MPEG to iPad

Four Other Companies Wanted Palm. Who Were They? Lenovo, Dell, Huawei and HTC?

Palm’s last-minute sale to Hewlett-Packard in April wasn’t nearly so last-minute or straightforward as it seemed.

A new Securities and Exchange Commission filing from the company reveals that the buyout was the result of a process that began in February with a list of 24 potential acquirers that was subsequently winnowed down to 16 companies, then to five and finally to three.

“From February 25 to April 1, Palm management, Goldman Sachs and Qatalyst Partners were in contact with a total of 16 companies including HP,” Palm says in its Preliminary Merger Proxy. “Of these, six companies, including HP, entered into nondisclosure agreements and participated in meetings with Palm and its advisors to review non-public information concerning Palm regarding a strategic transaction.”

And of those six, three made formal acquisition proposals after Palm (PALM) determined that it preferred an outright sale to the intellectual property transaction that at least one of those companies had been leaning toward.

The two companies in addition to HP that presented acquisition proposals are referred to as Company A and Company B. A fourth company, referred to as Company C, had initially been in discussions with Palm regarding an intellectual property transaction and later made a proposal to acquire Palm….A fifth company, referred to as Company D, contacted Palm on March 18 to discuss an intellectual property transaction but did not make a proposal to acquire Palm. Company D did not enter into a nondisclosure agreement and did not review non-public information about Palm. Discussions with Company D continued intermittently until April 15.

So what are companies A, B, C and D? HTC, Lenovo, Dell (DELL) and Huawei, most likely, though there’s a chance that ZTE (Zhong Xing Telecommunication Equipment Company Limited), which was believed to be interested in Palm, could be one of the four as well.

Recall that HTC was rumored to have dropped out of the bidding for Palm in late April. At that point, speculation on potential acquirers focused on Lenovo, though already, some–ahem–were suggesting the more likely suitor was HP (HPQ).

Dell and Lenovo would have been interested in Palm for many of the same reasons as HP–a turnkey smartphone division with a robust, scalable operating system. And for telecommunications equipment suppliers Huawei and ZTE, the acquisition of Palm would have been a quick and easy way to leap into the smartphone market with a known brand and strong OS.

Anyway…ultimately the bidding war for Palm came down to a battle between HP and that mysterious Company C. HP’s first offer was for $4.75 a share in cash. A second company matched that bid, and a third proposed an all-stock deal. At this point Company C was interested only in an intellectual property deal.

After Palm balked at those $4.75 bids, the company that had proposed the all-stock-deal dropped out. And Company C suddenly circled back with an acquisition offer of $6 to $7 per share, evidently having determined that its need for Palm’s patent portfolio merited the acquistion price. That sounds to me like HTC, which is facing a nasty patent battle with Apple (AAPL), a battle in which Palm’s patents could have proven quite handy.

But C’s proposal included a $60 million kill fee and some other conditions Palm didn’t much care for. Then the company reduced its bid to $5.50 a share. At that point Palm approached HP and closed the deal.

On April 24 Palm’s CEO and advisors communicated to HP and its advisors that, to remain in the process, HP must improve its offer significantly and immediately. Later that day, HP’s financial advisors verbally delivered a proposal to acquire Palm for $5.70 per common share in cash. HP’s financial advisors also requested a five-day exclusivity period. On April 25 HP delivered a letter confirming this proposal with a target announcement date of close of business on April 27 and sent a draft exclusivity agreement covering such period on April 26.

Tech Companies Worried About Their Core

Technology companies are more focused on risks to their core businesses than in the past, according to a review of corporate filings by consulting firm BDO Seidman.

BDO reached this conclusion by studying the risk factors listed by the 100 largest tech companies by revenue in their annual 10-K filings with the Securities and Exchange Commission. While the top handful of potential problems a business may face tend to remain the same year after year—things like increased competitions and failure of a new product to catch on—the recession was clearly on the minds of many companies when they addressed 2010.

Failure to execute was listed in 68 filings for fiscal year 2010, compared with 27 a year ago. Labor concerns were listed in 49, up from 22 a year earlier, and the chance that customers, partners, and suppliers might have financial problems was listed in 48 filings, up from 33, according to the study.

Aftab Jamil, the BDO partner who conducted the study, says that the results show that companies are more worried this year about making sure they weather the recession without damaging their main business. For instance, 13 more companies flagged the ability to raise new funds as a risk compared with the year before. In the past, he says, companies were more worried about risks associated with international expansion and other efforts to move into new markets.

“We went into this great recession and all business suffered,” says Mr. Jamil. “There are signs that we’re all digging out, but there is still a fair amount of uncertainty.”

The language in the filings is legal and rote, and typically short on detail. For instance, Microsoft described how it could be harmed by its partners’ inability to navigate the recession thusly: “The impact of economic conditions on our partners, such as the bankruptcy of a major distributor, could result in sales channel disruption. Challenging economic conditions also may impair the ability of our customers to pay for products and services they have purchased.”

Still awake? That’s not exactly the kind of information investors can act on. That’s one of the problems with reading too much into these statements, warns David Larcker, a professor at Stanford University’s Graduate School of Business. “There’s a lot of boilerplate in there,” he says. “You are seeing a much bigger push for companies to be a lot more specific about their risk disclosures. The question is what can be done to provide more insight into these risks.”

Mr. Jamil says that in his experience, boards take these risk assessments seriously, and while they may not be the most detail-laden reports, they are a reflection of what a company is worried about. “I don’t think all of that should be dismissed as a compliance exercise,” he says.

Google Street View Cars Collected Wi-Fi User Data for Three Years

Responding to questions about its Street View data collection practices in an April 27 blog post, Google said that it captured only publicly broadcast Wi-Fi network names and their MAC addresses and nothing else–certainly not “payload data,” the personal information being sent over those networks.

Well, guess what Google (GOOG) has unwittingly been collecting these past three years?

That’s right, payload data. And it has been collecting them from Wi-Fi networks not protected by passwords–in the United States, Germany, France, Brazil, Hong Kong and elsewhere.

“It’s now clear that we have been mistakenly collecting samples of payload data from open (i.e. non-password-protected) Wi-Fi networks,” Google Senior VP of Engineering and Research Alan Eustace said in a post on Google’s official blog Friday.

“So how did this happen?” he asks, quickly supply the answer: “Quite simply, it was a mistake. In 2006 an engineer working on an experimental WiFi project wrote a piece of code that sampled all categories of publicly broadcast WiFi data. A year later, when our mobile team started a project to collect basic WiFi network data like SSID information and MAC addresses using Google’s Street View cars, they included that code in their software–although the project leaders did not want, and had no intention of using, payload data.”

But they captured it just the same. And now Google is in the uniquely uncomfortable position of sitting on a pile of exactly the sort of customer data that privacy advocates worried that it was collecting. Until the company figures out what to do with the information, Google has temporarily grounded its Street View cars and promised to stop collecting Wi-Fi network data entirely.

“The engineering team at Google works hard to earn your trust–and we are acutely aware that we failed badly here,” Eustace concluded. “We are profoundly sorry for this error and are determined to learn all the lessons we can from our mistake.”

I’m sure the European privacy commission and regulators in the United States will make quite sure of that.

Qwest, CenturyTel Lose Subscribers in First Quarter

CenturyTel Inc. and Qwest Communications International Inc., which announced a merger last month, each reported that they continued to lose landline subscribers in their first-quarter reports Wednesday.

Overall, CenturyTel's earnings more than tripled, bolstered by CenturyTel last summer's acquisition of Embarq, while Qwest's earnings slumped 82%, weighed down by a one-time health care charge.

Hello World: Apple iPad Goes International on May 28

The international launch of the Apple iPad, which was delayed due to strong demand in the the U.S., will finally begin later this month.

Apple (AAPL) will start accepting pre-orders for both the 3G and Wi-Fi models on Monday, May 10. And on May 28, Apple will begin shipping units in Australia, Canada, France, Germany, Italy, Japan, Spain, Switzerland and the U.K.

The launch will continue in July when the iPad arrives in nine additional countries: Austria, Belgium, Hong Kong, Ireland, Luxembourg, Mexico, Netherlands, New Zealand and Singapore.

Apple has already sold more than one million iPads in the U.S. since the launch of the Wi-Fi-only model on April 3 and the 3G version on April 30. Given these sales figures and Apple’s supply issues to date, it will be interesting to see how the international rollout goes.

Did iPad Data Deal Extend AT&T’s iPhone Exclusivity?

There’s an interesting theory being floated today by Broadpoint AmTech research analyst Brian Marshall: By agreeing to offer “breakthrough” 3G prepaid data plans for Apple’s iPad, AT&T won an exclusive on the device and extension of its iPhone exclusivity agreement.

In the run-up to its debut, many believed the iPad would be supported by multiple carriers. But when Apple announced the tablet in late January, that didn’t prove to be the case.

The reason, Marshall tells Computerworld, is likely those cut-rate data plans AT&T (T) currently offers for the iPad. 50 percent off the carrier’s normal wireless data rates was evidently an offer Apple (AAPL) couldn’t refuse, one perhaps good enough for it to oust Verizon (VZ) as an iPad launch partner and delay the debut of the iPhone on that carrier’s network.

“AT&T had to do something dramatic to get the iPad,” he said. “For that pricing [on the iPad], AT&T was able to negotiate a six-month extension on the iPhone exclusive.”

Seems a plausible argument to me, though it’s obviously sheer speculation on Marshall’s part. AT&T’s exclusivity agreement is reportedly set to end this year. If it doesn’t, well, Marshall may have been on to something here, though we’ll likely never know for sure.
